ABB plans to spin off the Robotics division by 2026

Industrial group ABB has announced plans to spin off its Robotics division as an independent listed company by 2026. The aim is to submit a complete spin-off of the Robotics division to the Annual General Meeting for a vote in 2026. The IPO is planned for the second quarter of 2026.

ABB sees benefits for both parts of the company in the spin-off. Chairman Peter Voser said: "The Board of Directors is convinced that the listing of ABB Robotics as an independent company will strengthen the ability of both companies to create customer value, grow and attract talent. Both companies will benefit from more clearly aligned governance and capital allocation."

ABB Robotics develops automation solutions and is considered the technology leader in the industry, according to the company. The division employs around 7,000 people worldwide and generated sales of USD 2.3 billion in 2024 - around seven percent of ABB Group sales. The operating EBITA margin amounted to 12.1 percent. The new company is to be equipped with a strong capital structure and, according to ABB, has a solid cash flow profile.

ABB CEO Morten Wierod emphasized that there are only limited technological and business synergies between the robotics division and the other ABB businesses. The company expects the spin-off to increase value creation both for the Group as a whole and for the new robotics company.

As part of the reorganization, the Machine Automation division will be assigned to the Process Automation business unit from the first quarter of 2026. This is intended to create new synergies in the area of software and control technologies, among other things, and further strengthen customer focus. The ABB Robotics shares are to be allocated to ABB shareholders in the form of a dividend in kind in proportion to their existing shareholdings.
